These Terms of Service govern your access to and use of DigiSignature websites, products, and related services.

Acceptance of Terms

By accessing or using DigiSignature, you agree to these Terms and our Privacy Policy. If you use the service on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree with these Terms, do not use the service.

Service Scope and Eligibility

DigiSignature is a business-to-business (B2B) software service. You must be at least 18 years old and legally capable of entering contracts to use the service.

We may update or modify features from time to time to maintain security, compliance, and service reliability.

Account Responsibilities

  • You are responsible for maintaining the confidentiality of account credentials and for all activities under your account.
  • You agree to provide accurate information and keep it current.
  • You must promptly notify us of unauthorized use or suspected security incidents.
  • You are responsible for ensuring your use of DigiSignature complies with applicable laws and your internal policies.

Usage Policies

You may not use DigiSignature to:

  • Transmit unlawful, fraudulent, infringing, or abusive content.
  • Interfere with the service, attempt unauthorized access, or bypass security measures.
  • Reverse engineer, copy, or misuse the service except as permitted by law.
  • Send spam, malware, or deceptive communications.

We may suspend or limit access when necessary to prevent abuse, protect users, or comply with legal obligations.

Customer Data & Privacy

As between the parties, Customer retains ownership of Customer Data submitted to or processed through the service.

DigiSignature processes Customer Data to provide and secure the service and to deliver support in accordance with applicable law, these Terms, and our Privacy Policy.

Where required, customers may request our Data Processing Addendum (DPA). See DPA Information.

Billing and Subscription Terms

  • Paid plans are billed according to the pricing and billing cycle you select.
  • Unless otherwise stated in writing, subscriptions renew automatically at the end of each billing period.
  • You authorize DigiSignature (or our payment processor) to charge applicable fees, taxes, and renewal charges to your payment method.
  • Fees are generally non-refundable except where required by law or expressly stated in a written agreement.
  • Failure to pay may result in suspension or termination of service access.

API Terms

If API access is provided, you must use API credentials securely and only in accordance with documentation and usage limits.

  • You are responsible for all API activity performed with your credentials.
  • We may set or enforce rate limits and usage restrictions to preserve service stability.
  • We may modify or deprecate API features with reasonable notice when practical.

Intellectual Property

DigiSignature and its licensors retain all rights, title, and interest in the service, including software, documentation, trademarks, and related intellectual property.

Subject to these Terms and payment of applicable fees, DigiSignature grants Customer a limited, non-exclusive, non-transferable right to access and use the service during the subscription term.

Feedback provided by Customer may be used by DigiSignature to improve the service without obligation.

Confidentiality

Each party may receive non-public information from the other party that is marked or reasonably understood as confidential.

The receiving party will use at least reasonable care to protect confidential information and will use it only for purposes of performing under these Terms, except where disclosure is required by law.

Indemnification

Customer agrees to indemnify and hold DigiSignature harmless from third-party claims arising from Customer’s content, misuse of the service, or violation of applicable law or these Terms.

DigiSignature will promptly notify Customer of any such claim and provide reasonable cooperation at Customer’s expense.

Limitations of Liability

To the fullest extent permitted by law, DigiSignature is provided “as is” and “as available,” without warranties of any kind, express or implied.

To the fullest extent permitted by law, DigiSignature and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from or related to use of the service.

Where liability cannot be excluded, DigiSignature’s aggregate liability will be limited to the amount paid by you (if any) for the service during the 12 months before the event giving rise to the claim.

Termination

You may stop using the service at any time. We may suspend or terminate access for violations of these Terms, legal requirements, or security risks.

Upon termination, your right to use the service ends immediately. Provisions that by nature should survive termination (including payment obligations, disclaimers, limitations of liability, and dispute terms) will survive.

Dispute Resolution (Court-Litigated)

Before filing a claim, each party agrees to attempt good-faith resolution by written notice and discussion for at least 30 days.

Any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in New York, New York, and each party consents to personal jurisdiction and venue in those courts.

Each party waives any objection based on inconvenient forum to the extent permitted by law.

General Terms

  • Changes: We may update these Terms by posting a revised version with an updated date.
  • Assignment: Customer may not assign these Terms without prior written consent, except in connection with a merger or asset sale.
  • Force majeure: Neither party is liable for delay or failure due to events beyond reasonable control.
  • Severability and waiver: If one provision is unenforceable, remaining provisions remain in effect; failure to enforce a provision is not a waiver.
  • Entire agreement: These Terms and incorporated policies constitute the entire agreement unless superseded by a signed written agreement.
